Affiliate Program Agreement

• You must be at least 18 years old, or of full legal capacity in your jurisdiction.
• Approval is at DEXUN’s sole discretion; we may decline any application without stating a reason.
• You must provide accurate identity and payout information and keep it current.
• Upon approval you receive a unique referral code/link for your own use only — it may not be transferred, sold, or shared.

Commission is a percentage of the actual subscription amount paid by a referred customer, based on the tier you are in at that time. Current tiers (as published on the /affiliates page):

• Starter: 25% (0–9 active referrals)
• Silver: 35% (10–49 active referrals)
• Gold: 45% (50–99 active referrals)
• Diamond: 50% (100+ active referrals)

Meaning of “lifetime recurring”:for as long as the referred customer’s paid subscription remains active AND you remain in good standing under this Agreement, you earn commission on each renewal — not just the first payment. “Lifetime” refers to the duration of the referred subscription and is not a perpetual guarantee of any fixed commission rate or amount.

Right to adjust rates and tier structure: DEXUN reserves the right to add, modify, reduce, or discontinue any commission rate, tier threshold, calculation method, cookie window, or Program rule at any time. Adjustments take effect for commissions generated after the change is published; commissions already cleared under prior rules are unaffected. We will make reasonable efforts to give advance notice of material changes via in-app notice or email, but your continued participation constitutes acceptanceof the adjusted rules.

• Hold period: commissions are first recorded as “pending,” then become “cleared” (cashable) after a 30-day refund/chargeback observation window.
• Refund/chargeback clawback: if a referred customer is refunded, charges back, or cancels within the dispute window (up to ~60 days), the corresponding commission is clawed back and not paid.
• Minimum payout: a payout may be requested once your cleared balance reaches the published minimum.
• Manual review: all payout requests are subject to DEXUN’s manual review before disbursement; we may hold, freeze, or deny a payout on reasonable suspicion of fraud or breach.
• Payout method: set by you in your dashboard (PayPal / wire / Alipay / WeChat / Stripe Connect, etc.). Losses caused by incorrect payout details you provide are your responsibility.

If discovered, DEXUN may void all related commissions, terminate your affiliate status, and reserves the right to pursue legal remedies for:

• Self-referral: using your own code to sign up or purchase for yourself or accounts you control (including related accounts under different emails/identities).
• Fake, incentivized, or bot signups; fabricated clicks/conversions; cookie stuffing.
• Unauthorized bidding on DEXUN trademarks/brand terms, domain squatting, or misleading/false/exaggerated promotion.
• Spam, non-compliant social promotion, or violation of any applicable law or third-party platform policy.
• Any attempt to manipulate commission calculation or evade anti-fraud controls.

• You may stop participating at any time.
• DEXUN may terminate your affiliate status immediately for breach, or without cause upon notice.
• On termination for breach, all pending and unpaid commissions are forfeited.
• On a normal (non-breach) termination, already-cleared commissions remain claimable once the minimum is met.

You and DEXUN are independent parties. This Agreement does not create any employment, partnership, agency, or joint venture relationship. You have no authority to make commitments or sign documents on DEXUN’s behalf.

You are solely responsible for all taxes and filing obligations arising from commission income. DEXUN may request tax information as required by law and withhold where applicable.

W-9 / W-8 and the US$600 threshold. Under US Internal Revenue Service (IRS) rules, once your cumulative commissions reach or approach US$600, you must submit a tax form in your affiliate dashboard before we may pay you — a Form W-9 (with SSN or EIN) if you are a US person, or a Form W-8BEN / W-8BEN-E if you are a non-US person. Payouts are locked until your form is reviewed and approved. We will issue a Form 1099-NEC to US payees paid US$600 or more in an applicable calendar year.

Withholding (where applicable). If you fail to provide a valid Taxpayer Identification Number (TIN) when required, the IRS requires us to apply backup withholding at the then-current rate (currently 24%); for non-US payees subject to withholding, we withhold under the applicable W-8 rules. Any amount withheld is remitted to the IRS and correspondingly reduces your net commission.

The Program is provided “as is.” To the maximum extent permitted by law, DEXUN is not liable for any indirect, incidental, or consequential damages arising from participation; our aggregate liability to you will not exceed the total commissions actually paid to you in the preceding 12 months.

DEXUN reserves the right to modify this Agreement at any time; the modified version is effective upon publication. Your continued participation constitutes acceptance of the modified terms.

DEXUN INC reserves the right of final interpretation of this Agreement and all Program rules.In the event of any ambiguity or conflict between the English and Chinese versions, DEXUN INC’s interpretation controls.

This Agreement is governed by the laws of the State of Washington, USA (excluding its conflict-of-laws rules). Disputes arising under it shall be resolved by the courts of competent jurisdiction in King County, Washington.

Language & controlling version. This Agreement is provided in multiple languages for convenience. The English version is the official and binding version. In the event of any conflict, ambiguity, or inconsistency between the English version and any translation, the English version prevails.
